Welcome to Exvoria. These Terms of Service (“Terms”) govern your access to and use of the Exvoria website, web application, platform, integrations, and related services (collectively, the “Services”).

By creating an account, accessing, or using Exvoria, you agree to these Terms. If you do not agree to these Terms, you should not use the Services.

1. About Exvoria

Exvoria is a business-to-business digital trade platform designed to connect manufacturers, suppliers, buyers, logistics providers, and other commercial participants.

Exvoria may provide features including company profiles, product listings, supplier discovery, buyer-supplier communication, quotation requests, messaging, business integrations, document management, and other trade-related tools.

Exvoria does not guarantee that any user will obtain sales, buyers, suppliers, contracts, transactions, or commercial opportunities by using the platform.

2. Eligibility

You must be legally capable of entering into binding agreements in your jurisdiction to use Exvoria.

If you use Exvoria on behalf of a company, organization, or other legal entity, you confirm that you have authority to act on behalf of that entity.

You are responsible for ensuring that your use of Exvoria complies with applicable laws and regulations.

3. Account Registration

Certain Exvoria features require an account.

You agree to:

• provide accurate and current information;

• keep your login credentials secure;

• update your company and account information when necessary;

• not impersonate another person or business;

• not create accounts for fraudulent, misleading, or unlawful purposes.

You are responsible for activities performed through your account.

Users may publish company information, product listings, business descriptions, contact information, certifications, images, documents, and other commercial content.

You are responsible for ensuring that all information you publish is accurate, lawful, and does not infringe the rights of third parties.

Exvoria may remove, restrict, or review content that appears misleading, unlawful, fraudulent, abusive, or inconsistent with these Terms.

Publication on Exvoria does not constitute endorsement, certification, approval, or guarantee of a company or product unless explicitly stated otherwise.

5. Business Transactions

Users are responsible for independently evaluating potential buyers, suppliers, products, quotations, commercial terms, payment arrangements, shipping requirements, customs procedures, and legal obligations.

Unless explicitly stated otherwise for a specific service, Exvoria is not a party to contracts entered into between users.

Exvoria does not guarantee:

• product quality;

• delivery times;

• payment performance;

• supplier reliability;

• buyer reliability;

• regulatory compliance of a product;

• accuracy of user-provided information;

• successful completion of a transaction.

Users should perform appropriate commercial due diligence before entering into transactions.

6. Quotations and Communications

Exvoria may allow buyers and suppliers to exchange quotation requests, pricing information, delivery conditions, product specifications, messages, emails, or other communications.

Users remain responsible for reviewing the accuracy of all commercial information before sending or accepting it.

Information communicated through Exvoria does not create a binding obligation unless the relevant parties separately agree to such obligation.

7. Third-Party Integrations

Exvoria may allow users to connect third-party services, including email providers, cloud storage providers, CRM systems, communication tools, analytics services, logistics providers, and other platforms.

When you connect a third-party service, you authorize Exvoria to access or use information permitted by the authorization you grant.

For example, if you connect your Gmail account and authorize email sending, Exvoria may enable you to send emails from your connected account through the Exvoria interface.

Exvoria will only use permissions that are necessary to provide the requested integration features.

Third-party services are governed by their own terms, privacy policies, availability, and technical requirements.

Exvoria is not responsible for interruptions, restrictions, data loss, policy changes, or service failures caused by third-party providers.

You may disconnect supported integrations through Exvoria where such functionality is available.

8. Google API Services

Where Exvoria accesses information from Google APIs, Exvoria's use and transfer of information received from Google APIs will comply with the Google API Services User Data Policy, including applicable Limited Use requirements.

Exvoria requests only the Google permissions necessary to provide the relevant functionality.

For Gmail integrations, Exvoria may request permission to send emails through a user's connected Gmail account. Exvoria does not require access to read a user's entire Gmail inbox solely for the purpose of providing email-sending functionality.

9. Acceptable Use

You may not use Exvoria to:

• conduct fraudulent or deceptive activities;

• send spam or unsolicited bulk communications;

• distribute malware or harmful software;

• violate intellectual property rights;

• impersonate another person or company;

• manipulate platform systems or security measures;

• scrape or extract platform data without authorization;

• publish illegal products or services;

• facilitate prohibited or unlawful transactions;

• harass, threaten, or abuse other users;

• interfere with the availability or operation of the Services.

Exvoria may suspend or terminate accounts that violate these requirements.

10. Email and Communication Features

If you connect an email account to Exvoria, you are responsible for the messages sent using your connected account.

You agree not to use Exvoria email functionality for spam, phishing, deceptive marketing, unlawful solicitation, or other abusive communications.

You are responsible for ensuring that your email activities comply with applicable privacy, marketing, and anti-spam laws.

Exvoria may restrict email functionality if misuse, abuse, excessive activity, or security concerns are detected.

11. Subscriptions and Paid Services

Exvoria may offer free and paid plans, subscriptions, premium features, verification services, or additional business services.

Features, limits, pricing, and availability may vary by plan and may change over time.

Before a paid purchase is completed, applicable pricing and service information will be presented to the user.

Unless otherwise stated, users remain responsible for taxes, fees, and other charges applicable to their purchases.

Additional payment or refund terms may apply depending on the service purchased and payment provider used.

12. Intellectual Property

The Exvoria name, branding, platform design, software, interface, original content, and other proprietary materials are protected by applicable intellectual property laws.

These Terms do not transfer ownership of Exvoria intellectual property to users.

Users retain ownership of content they submit to Exvoria.

By submitting content, you grant Exvoria a limited, non-exclusive right to host, display, process, reproduce, and use that content as necessary to operate and provide the Services.

13. Privacy

Use of Exvoria is also subject to our Privacy Policy.

Our Privacy Policy explains how Exvoria may collect, use, store, and process personal and business information.

Where third-party integrations are used, information may also be processed by the relevant third-party provider according to its own policies.

14. Security

Exvoria takes reasonable measures to protect platform information and user accounts.

However, no internet-based system can guarantee absolute security.

Users are responsible for maintaining secure passwords, devices, email accounts, and connected third-party services.

You should immediately revoke access or disconnect an integration if you believe your account or authorization has been compromised.

15. Service Availability

Exvoria may update, modify, suspend, discontinue, or replace platform features at any time.

Temporary interruptions may occur due to maintenance, upgrades, third-party failures, technical issues, security incidents, or circumstances outside Exvoria's reasonable control.

Exvoria does not guarantee uninterrupted or error-free operation.

16. Verification and Trust Features

Exvoria may provide verification badges, supplier verification, profile review, trust indicators, or similar features.

Such features are intended to provide additional platform information but do not constitute a guarantee of a user's future behavior, financial condition, product quality, regulatory compliance, or transaction performance.

Users remain responsible for conducting their own due diligence.

17. Suspension and Termination

Exvoria may suspend, restrict, or terminate access to the Services where reasonably necessary, including in cases involving:

• violations of these Terms;

• suspected fraud;

• security risks;

• abuse of platform systems;

• unlawful conduct;

• misuse of integrations;

• misleading company information;

• harmful activity affecting other users.

Users may stop using Exvoria at any time.

18. Disclaimers

The Services are provided on an “as is” and “as available” basis to the extent permitted by law.

Exvoria does not make guarantees regarding commercial results, uninterrupted availability, buyer demand, supplier performance, transaction completion, revenue generation, or business outcomes.

Business decisions made using information available through Exvoria remain the responsibility of the user.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Exvoria will not be liable for indirect, incidental, consequential, special, punitive, or commercial losses arising from:

• transactions between users;

• reliance on information supplied by another user;

• lost business opportunities;

• third-party integrations;

• service interruptions;

• unauthorized account access;

• user-generated content;

• shipping, payment, customs, or delivery disputes.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

20. Indemnification

To the extent permitted by law, you agree to be responsible for claims, damages, losses, or expenses resulting from your unlawful use of Exvoria, violation of these Terms, infringement of third-party rights, or misuse of platform services.

21. Changes to These Terms

Exvoria may update these Terms from time to time.

When material changes are made, the updated version and effective date may be published on the Exvoria website or platform.

Continued use of Exvoria after updated Terms become effective constitutes acceptance of the revised Terms where permitted by law.

22. Governing Law

These Terms will be governed by applicable laws in the jurisdiction in which the Exvoria operating entity is established, subject to mandatory consumer or commercial laws that may apply.

Where legally permitted, disputes should first be addressed through good-faith communication between the parties.
